Press Release

Industry Veterans Gregor Bailar and Ed Coleman Join Red Oak Software Board of Directors

MOUNTAIN LAKES, N.J.--(BUSINESS WIRE)--Nov. 20, 2000--Red Oak Software (www.redoaksw.com) today announced that Gregor Bailar, EVP and CIO for the National Association of Securities Dealers, Inc. (NASD®) and Ed Coleman, President and CEO of CompuCom, have been elected to the Board of Directors, expanding board membership to four.

Red Oak's announcement comes shortly after the General Availability announcement of Red Oak's newest product, Legacy Integrator (TM), the industry's most advanced data-stream emulation product (www.redoaksw.com/news_pr2). Legacy Integrator enables all terminal-based legacy applications to be easily and programmatically integrated with any EAI or B2Bi infrastructure.

Mr. Bailar has overseen all aspects of information technology at the NASD since his arrival in 1997, from Citicorp N.A., where he served as Managing Director and Vice President of Advanced Development for Global Corporate Banking. While there, he was responsible for management of the overall technological direction, strategy and expenditures for Citicorp's global corporate banking business.

Prior to this, Bailar was an associate with Perot Systems Corporation in Dallas, Texas from 1993-1994; and President and CEO of Trirex Systems, Inc., of Westport, Connecticut from 1992-1993. From 1988 through 1992, Bailar held several positions with NeXT Computer, Inc., and he was Senior Systems Engineer with Hewlett Packard in Palo Alto, California from 1985-1988. He received his degree in electrical engineering and computer science from Dartmouth College.

Mr. Coleman, as President, CEO and member of the Board of Directors, oversees CompuCom's strategic business initiatives and overall corporate strategy. Bringing 25 years of industry expertise successfully redirecting and leading organizations into new areas, he is now leading CompuCom's transition to an infrastructure solutions provider that optimizes e-business and enterprise applications. Coleman joined CompuCom from Computer Sciences Corporation (CSC) in 1999.

Prior to CSC, Coleman led MTS, a systems integrator, and spent 17 years at IBM, including five years with IBM Credit Corporation, where he led the national sales force, directed the used computer business and served as VP and GM of Channel Financing. Mr. Coleman was graduated with a degree in business administration from the College of William and Mary, and holds an MBA from Indiana University.

``This is an exciting time for Red Oak, with the continued strong market acceptance of our Stingray product, our recent introduction of Legacy Integrator and the expectations for our new Web Integrator products,'' said George Cummings, President and CEO of Red Oak. ``We are honored that such seasoned and respected industry leaders as Gregor and Ed share our assessment of the size of Red Oak's opportunity and have agreed to enhance our day-to-day management efforts with their counsel and perspective.''

Cummings concluded by noting, ``Red Oak is a dynamic, aggressive company, yet we will succeed only when we are able to build strong and enduring strategic relationships. The reputations and personal relationships that Gregor and Ed bring to our board will be invaluable in these efforts.''
